The fifth month of 1911 is often remembered for the landmark dissolution of the legendary Standard Oil Trust, a judgment which put forth a standard of "reasonableness" in assessing the size and competitive efforts of massive companies. What's often forgotten is that Standard Oil was not the only trust in the government's crosshairs during the 1911 session. The Company conducts, for each block, a gravity and magnetic survey and acquire, process and interpret two dimensional (2D) seismic data. The gravity and magnetic survey on blocks L1B and L16 was completed in April 2013. The Company has the right to apply for up to two additional two-year exploration periods with specified additional minimum work obligations, including the acquisition of three dimensional (3D) seismic data and the drilling of one exploratory well on each block du! ring each such additional period. The Gambia Licenses for both blocks provide for an initial exploration period of four years with specified minimum work obligations during that period. The Company conducts, for each block, a regional geological study, acquire process and interpret 750 square kilometers of 3D seismic data, drill one exploration well to the total depth of 5,000 meters below mean sea level and evaluate drilling results. Petroleum Business

Its combined production capacity represents approximately 15% of its region's output during the year ended December 31, 2011. The Coffeyville facility is situated on approximately 440 acres in southeast Kansas, approximately 100 miles from Cushing, Oklahoma, a crude oil trading and storage hub. The Wynnewood facility is situated on approximately 400 acres located approximately 65 miles south of Oklahoma City, Oklahoma and approximately 130 miles from Cushing, Oklahoma. During 2011, its Coffeyville refinery's product yield included gasoline (mainly regular unleaded) (44%), diesel fuel (42%), and pet coke and other refined products, such as natural gas liquids (NGL) (propane and butane), slurry, sulfur and gas oil (14%). Its Wynnewood refinery's product yield included gasoline (54%), diesel fuel (31%), asphalt (6%), jet fuel (3%) and other products (6%) during 2011.

The Company! owns and operates a crude oil gathering system serving Kansas, Oklahoma, western Missouri and southwestern Nebraska. The system has field offices in Bartlesville, Oklahoma, Plainville, Kansas and Winfield, Kansas. The system consists of approximately 350 miles of feeder and trunk pipelines, 100 trucks, and associated storage facilities for gathering sweet crude oils purchased from independent crude oil producers in Kansas, Nebraska, Oklahoma and Missouri. It also leases a section of a pipeline from Magellan Midstream Partners, L.P. (Magellan), which is incorporated into its crude oil gathering system. Crude oils sourced outside of its gathering system are delivered by common carrier pipelines into various terminals in Cushing, Oklahoma, where they are blended and then delivered to Caney, Kansas via a pipeline owned by Plains Pipeline L.P. CVR Energy has access to foreign crude oil from Latin America, South America, West Africa, the Middle East, the North Sea and Canada. It purchases domestic crude oil from Kansas, Oklahoma, Nebraska, Texas, North Dakota, Missouri, and offshore deepwater Gulf of Mexico production. During 2011, its Coffeyville crude oil supply blend consisted of approx! imately 8! 0% light sweet crude oil, 2% light/medium sour crude oil and 18% heavy sour crude oil. During 2011, Wynnewood's crude oil supply blend consisted of approximately 88% sweet crude oil and 12% light/medium sour crude oil.

During 2011, approximately 35% of the Coffeyville refinery's products were sold through the rack system directly to retail and wholesale customers, while the remaining 65% was sold through pipelines via bulk spot and term contracts. The Company makes bulk sales (sales into third party pipelines) into the mid-continent markets via Magellan and into Colorado and other destinations utilizing the product pipeline networks owned by Magellan, Enterprise Products Operating, L.P. (Enterprise) and NuStar Energy, LP (NuStar). Approximately 60% of the Wynnewood refinery's finished products sold are distributed in Oklahoma. Customers for its petroleum products include other refiners, convenience store companies, railroads and farm cooperatives.

Nitrogen Fertilizer Business

The nitrogen fertilizer business, operated by the Partnership, is the nitrogen fertilizer plant in North America. It utilizes a pet coke gasification process to produce nitrogen fertilizer. The nitrogen fertilizer facility's primary input is pet coke. The nitrogen fertilizer facility includes a 1,225 ton-per-day ammonia unit, a 2,025 ton-per-day UAN unit and a gasifier complex having a capacity of 84 million standard cubic feet per day. Linde LLC (Linde) owns, operates, and maintains the air separation plant that provides contract volumes of oxygen, nitrogen and compressed dry air to the gasifier for a monthly fee.

The primary geographic markets for the nitrogen fertilizer business' fertilizer products are Kansas, Missouri, Nebraska, Iowa, Illinois, Colorado and Texas. The nitrogen fertilizer business markets the ammonia products to industrial and agricu! ltural cu! stomers and the UAN products to agricultural customers. The nitrogen fertilizer business sells ammonia to agricultural and industrial customers. Agricultural customers include distributors such as MFA, United Suppliers, Inc., Brandt Consolidated Inc., Gavilon Fertilizer LLC, Transammonia, Inc., Agri Services of Brunswick, LLC, Interchem and CHS Inc. Industrial customers include Tessenderlo Kerley, Inc., National Cooperative Refinery Association, and Dyno Nobel, Inc. The nitrogen fertilizer business sells UAN products to retailers and distributors.

The Company is the operator of Janey 16H in Upton County with a 3,842 foot lateral in the Wolfcamp B interval. During the year ended December 31, 2012, the Janey 16H had produced a total of 48 thousand barrels of oil and 62 million cubic feet of natural gas. The Company�� activities are primarily focused on the Clearfork, Spraberry, Wolfcamp, Cline, Strawn and Atoka formations, which it refers to collectively as the Wolfberry play. The Wolfberry play is characterized by high oil and liquids rich natural gas, multiple vertical and horizontal target horizons, extensive production history, long-lived reserves and high drilling success rates. As of December 31, 2012, these proved reserves wer! e approximately 65% oil, 21% natural gas liquids and 14% natural gas.

The Company had have 881 identified potential vertical drilling locations on 40-acre spacing based on its evaluation of applicable geologic and engineering data as of December 31, 2012, and had an additional 1,118 identified potential vertical drilling locations based on 20-acre downspacing. It also has identified 731 potential horizontal drilling locations in multiple horizons on its acreage. The Company�� second horizontal well, Kemmer 4209H in Midland County is a non-operated well in which the Company owns a 47% working interest. In 2012, the Kemmer 4209H produced a total of 41 thousand barrels of oil and 45 million cubic feet of natural gas. In addition to the Janey and Kemmer wells, as of February 28, 2013, the Company had three additional horizontal wells in Midland County and four horizontal wells in Upton County in various stages of development. In Midland County, it drilled the ST25-1H well (83% working interest) with a lateral length of 4,617 feet.

In Upton County, the Company drilled three additional wells, the Neal 8-1H (100% working interest) with a lateral length of 7,652 feet, the Neal 8-2H (100% working interest) with a lateral length of 6,658 feet and the Janey 3H (100% working interest) with a lateral length of 4,629 feet. It completed a 32 stage frac on the Neal 8-1H well in January 2013. As of February 26, 2013, flowback operations were underway and for the last seven days the well averaged 806 barrel of oil equivalent per day with a peak rate of 871 barrel of oil equivalent per day with an 85% oil component.

In May 2011, the Company acquired a 70% working interest in approximately 5,200 acres (3,640 net acres) in Sheridan County, Montana in the Middle Bakken formation. In September 2011, it acquired a 65% working interest in approximately 22,000 gross acres covering the Middle Bakken and deeper formations in the East Poplar unit and the Northwest Poplar field in Roosevelt County, Montana.

Tesoro Corporation, together with its subsidiaries, engages in refining and marketing petroleum products in the United States. It operates in two segments, Refining and Retail. The Refining segment refines crude oil and other feed stocks into transportation fuels, such as gasoline, gasoline blendstocks, jet fuel, and diesel fuel, as well as other products, including heavy fuel oils, liquefied petroleum gas, petroleum coke, and asphalt. This segment also sells refined products in the wholesale market primarily through independent unbranded distributors; and in the bulk market primarily to independent unbranded distributors, other refining and marketing companies, utilities, railroads, airlines and marine, and industrial end-users. It owns and operates 7 refineries with a combined crude oil capacity of 665 thousand barrels per day. The Retail segment sells gasoline, diesel fuel, and convenience store items through company-operated retail stations, and third-party branded dea lers and distributors in the western United States. As of December 31, 2011, this segment had 1,175 branded retail stations under the Tesoro, Shell, and USA Gasoline brands.     Yesterday, Tesoro Corp. (TSO) sold a bunch of assets to Tesoro Logistics (TLLP) for $650 million, the second “drop-down,” or sale of assets by a parent company to a partnership.

    The Wall Street Journal has the details:

    Tesoro Logistics LP, a company spun off in 2011 by oil refiner Tesoro Corp., agreed to pay its former parent $650 million to acquire Los Angeles assets that include two marine terminals and a pipeline system.

    The company, which expects to close on the deal in the current quarter, said it will fund the deal using mostly cash, as well as about $65 million in equity. In a separate statement Monday, Tesoro Logistics said it was offering at least 6.3 million common units, with proceeds to be used to fund the deal.

    Operationally, TSO continues to benefit from wide Bakken crude discounts, with the Clearbrook hub currently priced at a $14/bbl discount to WTI. During 3Q, TSO realized a gross refining margin of $21/bbl in its mid-con segment, vs refineries with Cushing price exposure in the $11/bbl-$15/bbl range. We expect similar outperformance in the current

    The completion of the Vancouver, WA rail terminal in 1Q14 should provide additional drop down opportunities early next year. Comped to the metrics of the Anacortes rail terminal drop, the 125,000 Vancouver terminal could realize a drop down price of over $450MM, with upside in an expansion scenario. We expect TSO to remain a regular provider of cash catalysts through its capital project backlog and aggressive utilization of the TLLP vehicle.

    Shares of Tesoro have gained 1.9% to $56.42, besting Phillips 66′s (PSX) 1.5% rise to $68.22, Hollyfrontier’s (HFC) 0.1% drop to $46.19 and Valero Energy’s (VLO) 0.,1% dip to $42.86. Tesoro Logistics has dropped 6% to $49.82.
